Section 01
Who we are
SudoSell is a curated digital marketplace operated by SudoSell (“SudoSell”, “we”, “us”, “our”). The Service includes the website at sudosell.com, related subdomains, mobile-optimized pages, the buyer dashboard, the seller dashboard, and the API endpoints used by these surfaces.
Section 02
Eligibility
To create an account or make a purchase, you must:
- be at least 18 years old (or the age of majority in your jurisdiction);
- have the legal capacity to enter a binding contract;
- not be barred from receiving services under applicable export-control or sanctions laws;
- not be on any sanctions list maintained by the United Nations, the EU, the United Kingdom, or the United States.
Accounts created by automation, bots, or with materially false identity information may be terminated without notice.
Section 03
Account responsibilities
You are responsible for: (i) maintaining the confidentiality of your credentials and any API keys, (ii) all activity under your account, (iii) keeping the email address on your account current. We are not liable for losses arising from your failure to safeguard your credentials.
We strongly recommend enabling two-factor authentication. Suspected compromise should be reported within 24 hours via the security disclosure form.
Section 04
Purchases and the SudoSell role
SudoSell is a marketplace, not the manufacturer or publisher of the products listed. The contract of sale for a digital product is between the buyer and the seller. SudoSell:
- processes payment as merchant of record on behalf of the seller;
- hosts product downloads and release artifacts;
- adjudicates refund disputes per the Refund Policy;
- operates buyer/seller messaging via support tickets.
Pricing, product descriptions, support response times, and license terms are the seller’s responsibility. SudoSell curates which listings are accepted but does not warrant the merchantability or fitness-for-purpose of any specific product.
Section 05
License to use products
When you complete a purchase, the seller grants you the license set out on the product page (commonly a perpetual, worldwide, non-exclusive, non-transferable, royalty-free commercial license). You may not:
- resell or redistribute the source code as a stand-alone item;
- list the product on a competing marketplace under your own name;
- circumvent technical protection mechanisms beyond what the license expressly permits;
- use the product for unlawful purposes or to harm others.
Your license terminates if your purchase is refunded, charged back, or if you breach these Terms; downloads will be revoked.
Section 06
Refund policy reference
SudoSell uses a download-locked refund policy. The full mechanics are set out in the Refund Policy. In short: pre-download refunds are self-serve; post-download refunds require demonstrating a genuine seller-caused defect that the seller did not resolve within their support SLA.
Section 07
Pricing, currency, and payment
Prices are displayed in the seller’s base currency and are inclusive of any taxes the seller is required to remit. Where SudoSell is required to collect sales tax, VAT, or GST on behalf of the seller, the applicable amount is added at checkout and shown before payment.
Payment is processed by a PCI-DSS compliant third-party payment processor. By submitting payment details you authorize the captured amount, including any additional taxes shown at checkout. Failed authorizations cancel the order automatically and do not place any obligation on the buyer.
Section 08
Account suspension and termination
We may suspend or terminate your account if:
- you breach these Terms or any policy linked from them;
- we have reasonable grounds to suspect fraud, money-laundering, or sanctions exposure;
- you initiate excessive chargebacks or fraudulent refund claims;
- you abuse staff or other users (harassment, threats, doxxing);
- required by law, court order, or law-enforcement request.
We will notify you of termination by email. Material non-fraud terminations include a reason. You may request data deletion per the Privacy Policy; certain data must be retained for tax and compliance reasons.
Section 09
Acceptable use
Your use of SudoSell must comply with the Acceptable Use Policy, which prohibits malware, illegal content, harassment, scraping beyond reasonable limits, and other categories listed there.
Section 10
Reviews
Verified buyers may leave reviews. By posting a review you grant SudoSell a non-exclusive, royalty-free license to display and syndicate the review for marketplace purposes. We may remove reviews that violate the Acceptable Use Policy, contain doxxing, or disclose non-public seller IP.
Section 11
DMCA / IP claims
If you believe a product listed on SudoSell infringes your copyright, follow the takedown procedure in the DMCA Policy. Repeat infringers will be terminated.
Section 12
Disclaimers
SudoSell is provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. We do not warrant that products listed by sellers will meet your requirements, be error-free, or be compatible with any specific environment.
Section 13
Limitation of liability
To the fullest extent permitted by law, SudoSell’s total liability to any user arising from these Terms or any product is capped at the greater of (i) the amount you paid SudoSell in the 12 months preceding the claim, or (ii) USD 100. SudoSell is not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, or business interruption.
Section 14
Indemnification
You agree to indemnify and hold harmless SudoSell from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your: (i) breach of these Terms, (ii) violation of any law or third-party right, (iii) misuse of the Service, or (iv) content you upload or transmit.
Section 15
Governing law and arbitration
These Terms are governed by the laws of India (without regard to conflict-of-laws principles). Disputes that cannot be resolved through good-faith negotiation are resolved by binding arbitration in Bengaluru, India under the Arbitration and Conciliation Act, 1996, conducted in English by a single arbitrator. You waive the right to participate in class actions to the extent permitted by law. Either party may seek injunctive relief in court for IP or confidentiality breaches without first arbitrating.
Section 16
Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control: natural disasters, war, governmental action, internet or payment-processor outages, or pandemics. In each case, the affected party must use commercially reasonable efforts to mitigate.
Section 17
Modifications
We may update these Terms. Material changes will be announced by email at least 30 days before they take effect, and a notice on the site. Continued use after the effective date constitutes acceptance.
Section 20
Marketplace wind-down
If SudoSell ceases operations, voluntarily or otherwise, you will receive at least 90 days’ written notice via the email address on your account. During that notice period:
- Your access to releases you have purchased and downloaded continues until the published shutdown date.
- Refund eligibility windows are honored as if the platform were operating normally.
- New purchases may be paused early in the wind-down to limit buyer exposure to undelivered settlement windows.
- Where feasible, we will publish a final-snapshot of releases so you retain a personal copy after the platform is offline.
Section 21
Tax invoices
Where SudoSell is registered for the relevant transaction tax in a jurisdiction (currently none; this list expands as we register), we will issue a tax-compliant invoice on request via the support form. For all other purchases, the receipt emailed to you at the time of sale is your record.
Section 18
Severability and entire agreement
If any provision is unenforceable, the remainder remains in effect. These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, DMCA Policy, Cookie Policy, and (for sellers) the Seller Agreement, constitute the entire agreement between you and SudoSell.
